Real Estate Capital Simplified

Co-GP and JV Equity for Colorado Real Estate Sponsors

Three professionals looking out of a large window at the city.

LPs buy your deal. Co-GPs buy your pipeline. Specializing in Colorado CRE.

Co-GP equity funds the general partner's share of a deal — the co-invest institutional LPs require but growing sponsors run out of first. I'm Carl Riggins. Through RECAPITAL.ai, I place co-GP and JV equity for real estate sponsors, marketing each request through the Northmarq platform to 500+ capital sources, including the family offices and funds that specifically buy GP positions. Deals from $5M to $30M+ in total equity, Colorado-based and beyond.

That difference decides who you should be talking to. An LP underwrites one asset and wants distributions. A co-GP underwrites you — your track record, your deal flow, your operations — because their return comes from sharing your promote across the position. Sponsors pitch co-GP investors the way they'd pitch an LP and wonder why it stalls; it stalls because it's the wrong pitch to the wrong buyer.

Why do sponsors run out of GP capital?

Because institutional equity demands it. Most institutional LPs require the sponsor to fund 5–10% of total equity as the GP commitment. On a $40M raise, that's $2M–$4M of the sponsor's own cash per deal — and the sponsors with the best pipelines hit that wall fastest. The old fix was "country club" syndication: a dozen friends-and-family checks, re-raised deal by deal. It works until it doesn't scale, and it stops working precisely when your pipeline starts.

How does co-GP equity work?

A co-GP investor typically funds the majority of the GP commitment — often up to 80–90% — in exchange for a share of the GP economics: promote, fees, or both, negotiated deal by deal. You keep control of operations and the majority of the upside you created; they get GP-level returns without building a platform. The best structures are boringly clear about three things: who controls major decisions, how the promote splits at each hurdle, and what happens if either side wants out early.

What about full JV equity?

Where the gap is bigger than the GP slice, a JV partner funds most of the total equity — LPs typically cover 80–90% of the stack — with returns negotiated around a preferred hurdle and promote. The trade is straightforward: more capital, more governance. A JV partner underwrites your business plan and then watches it; the right one brings balance sheet for the next deal too, which is where a capital relationship starts compounding.

Why run this as a marketed process?

Because GP economics are exactly where an un-shopped deal costs you the most. Promote splits, fee sharing, and control rights have no published market price — the only price discovery is competition.

I put the request in front of the co-GP funds, family offices, and JV platforms that are actively buying GP positions this year, and the terms fall out of the field, not a single negotiation. A quote you didn't compete is a price you didn't set — and in the GP stack, the price is your upside.

Capital that funds part of the general partner's required co-investment in a real estate deal, in exchange for a negotiated share of GP economics — promote and sometimes fees. It exists so sponsors with strong pipelines aren't capped by their own balance sheets.

Typically the majority — often up to 80–90% of the GP requirement, depending on sponsor track record and deal quality.

A negotiated slice of your promote, sometimes plus a preferred return on their dollars. Expensive next to keeping the whole promote; cheap next to the deals you didn't do. Competition among providers is what protects your share.
